These Terms of Use govern your use of Lucy, an application for iPhone, iPad, and Mac published by Xymex (“we,” “us,” or “our”). By downloading or using Lucy, you agree to these terms. If you do not agree, do not use the app.
1. License grant
Subject to these terms, Xymex grants you a personal, non-exclusive, non-transferable, revocable license to use Lucy on any Apple device that you own or control, as permitted by the Apple App Store Terms of Service.
This license does not include the right to: sublicense, sell, resell, or distribute Lucy; modify, reverse-engineer, or create derivative works based on Lucy; or use Lucy for any unlawful purpose.
Lucy is licensed, not sold, to you. Xymex retains all intellectual property rights in and to the app, including all updates and new versions.
2. Apple Standard EULA
Lucy is distributed through the Apple App Store. To the extent not superseded by these Terms, your use of Lucy is also governed by Apple’s standard end-user license agreement for App Store apps (“Apple EULA”), available at apple.com/legal/internet-services/itunes/dev/stdeula/. In any conflict between these Terms and the Apple EULA, these Terms govern to the extent permitted by Apple.
Apple is not a party to these Terms and has no obligation to provide any maintenance or support for Lucy. Apple has no warranty obligation with respect to Lucy beyond any refund right under applicable law.
3. Purchases and payment
One-time purchase, no subscription. Lucy offers a free tier with limited sessions and a one-time in-app purchase (“Lucy Base”) that unlocks unlimited sessions and export. There are no recurring charges, subscriptions, or auto-renewing payments of any kind.
All purchases are processed by Apple through the App Store. Your payment relationship is with Apple, not with Xymex. Prices are set in the App Store and may vary by region. All purchases are final subject to Apple’s refund policy.
Refunds. Refund requests must be submitted directly to Apple at reportaproblem.apple.com. Xymex does not control refund decisions. If you are experiencing a problem with the app, please contact us at support@xymex.com before requesting a refund — we may be able to resolve the issue.
Restore purchases. A Lucy Base purchase is a non-consumable in-app purchase and applies to all devices signed in to the same Apple ID. To restore on a new device, go to Settings › Restore Purchases inside the app.
4. Your content and data
All recordings, transcripts, and notes you create in Lucy are stored exclusively on your device. Xymex does not have access to your recordings or transcripts at any time. You retain full ownership of all content you create using Lucy.
You are solely responsible for ensuring that your use of Lucy complies with applicable laws and professional obligations in your jurisdiction, including any laws governing the recording of conversations. Lucy is a transcription tool; it does not provide legal, medical, or professional advice.
5. Acceptable use
You agree not to use Lucy to:
- Record conversations without the consent of all parties where required by applicable law.
- Produce transcripts intended to be used as fabricated or falsified evidence.
- Violate any applicable local, national, or international law or regulation.
- Infringe the intellectual property, privacy, or other rights of any third party.
Xymex has no visibility into how you use Lucy (the app operates entirely on-device with no data collection), but misuse remains your responsibility.
6. Privacy
Lucy is designed so that your recordings never leave your device. Our Privacy Policy explains exactly how the app handles data (and why it handles essentially none). The Privacy Policy is incorporated into these Terms by reference.
7. Disclaimer of warranties
Lucy is provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by applicable law, Xymex disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy of transcription output, and non-infringement.
Transcription and speaker-attribution outputs produced by Lucy are generated by on-device AI models and may contain errors. You should review all transcripts before relying on them for any professional, legal, medical, or other purpose. Lucy is a documentation aid, not a substitute for professional judgment.
Xymex does not warrant that Lucy will be uninterrupted, error-free, or free of viruses or other harmful components, or that defects will be corrected.
8. Limitation of liability
To the fullest extent permitted by applicable law, in no event shall Xymex, its owners, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Lucy, including but not limited to loss of data, loss of revenue, or damages arising from reliance on transcription output, even if Xymex has been advised of the possibility of such damages.
Xymex’s total liability to you for any claims arising under or related to these Terms shall not exceed the amount you paid for Lucy in the twelve months preceding the claim, or USD $10, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Xymex’s liability is limited to the maximum extent permitted by law.
9. Updates and availability
Xymex may update Lucy from time to time. Updates may add, change, or remove features. Continued use of Lucy after an update constitutes acceptance of any changes to these Terms that accompany that update.
Xymex reserves the right to discontinue Lucy or any feature at any time. Because Lucy operates entirely on-device, a purchased version will continue to function on your device even if Xymex discontinues support, provided Apple continues to allow the installed version to run.
10. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the jurisdiction of the developer's principal place of business, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or your use of Lucy shall first be attempted to be resolved by good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
Nothing in this section affects any statutory rights you may have as a consumer under applicable law.
11. Changes to these terms
Xymex may update these Terms from time to time. Material changes will be communicated via an in-app notice in the next app update. The “Last updated” date at the top of this page reflects the date of the most recent revision. Continued use of Lucy after changes become effective constitutes acceptance of the revised Terms.
